1. Acceptance of Terms

By downloading, installing, or using Bach ("the App"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you must not use the App.

These Terms constitute a legally binding agreement between you and MASIC AI ("we", "us", or "our"). Your use of Bach is also governed by our Privacy Policy and Refund Policy.

2. Description of Service

Bach is a desktop application (available for Windows, macOS, and Linux) that provides AI-powered image generation, editing, and management capabilities. The App includes:

Local AI Processing: Image segmentation and object selection using on-device AI models
Cloud-Based Generation: Text-to-image generation and editing via third-party AI providers (OpenAI, Ideogram, Google)
Project Management: Local storage and organization of your creative projects
Template System: Creation and use of reusable image generation templates
Subscription-Based Access: Credit system for managing AI generation usage

3. Account Registration

Account Creation:

To use Bach, you must create an account by providing:

A valid email address
A secure password
Alternatively, you may sign in using OAuth providers (Google, etc.)

Account Security:

You are responsible for:

Maintaining the confidentiality of your account credentials
All activities that occur under your account
Notifying us immediately of any unauthorized use

You must be at least 13 years old (or the age of digital consent in your jurisdiction) to create an account.

Account Accuracy:

You agree to provide accurate, current, and complete information during registration and to update this information as needed.

4. Subscription Plans and Credits

Available Plans:

Bach offers three subscription tiers:

Credit System:

Credits are used to perform AI-powered operations (image generation, editing, super-resolution)
Credit costs vary based on the operation type and quality settings (typically 1-10 credits per operation)
Free Plan: Credits reset weekly; unused credits do not carry over
Paid Plans: Credits reset monthly on your billing date; unused credits do not carry over
Credits have no cash value and cannot be transferred, sold, or redeemed for money

Extra Usage Feature (Paid Plans Only):

Available for Plus and Pro subscribers only
Allows purchasing additional credits beyond your monthly allocation at $0.05 per credit
Must be explicitly enabled by you in app settings
You set a spending limit (maximum $20 per billing period)
Extra Usage amounts are billed in your next billing period along with your subscription fee
You can modify or disable Extra Usage at any time

Subscription Modifications:

Upgrades: You may upgrade your plan at any time; charges are prorated
Downgrades: To downgrade, you must cancel your current plan and wait for the billing period to end, then subscribe to a lower tier
Cancellation: You may cancel at any time; your subscription and credits remain active until the end of your current billing period, then you'll be downgraded to the Free plan

5. Payment and Billing

Payment Processing:

All payments are processed by Paddle, our third-party payment processor. By subscribing to a paid plan, you agree to Paddle's terms and conditions.

Billing:

Subscriptions are billed monthly in advance
Billing occurs on the same day each month (your billing date)
Extra Usage amounts (if enabled) are billed in the following billing period
You are responsible for providing accurate and current payment information

Payment Methods:

Accepted payment methods are determined by Paddle and may include credit cards, debit cards, and other payment options available in your region.

Failed Payments:

If a payment fails:

We will attempt to process the payment again
Your subscription may be suspended until payment is successful
Repeated failed payments may result in downgrade to the Free plan

Subscription Management:

You can manage your subscription, update payment methods, and view invoices through the Paddle Customer Portal accessible from within the App.

6. Acceptable Use

You agree to use Bach only for lawful purposes and in accordance with these Terms. You agree NOT to:

Prohibited Content:

Generate, upload, or process images that are illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
Create images depicting child exploitation or abuse
Generate images that infringe on others' intellectual property rights, privacy, or publicity rights
Create deepfakes or misleading content intended to deceive or defraud

Prohibited Activities:

Use the App to violate any applicable laws or regulations
Attempt to reverse engineer, decompile, disassemble, or hack the App
Circumvent any access restrictions, rate limits, or security measures
Share your account credentials with others or create multiple accounts to abuse the credit system
Use automated scripts, bots, or other means to abuse the service
Interfere with or disrupt the App's functionality or servers
Use the App to compete with or harm MASIC AI's business

AI Provider Compliance:

You agree to comply with the terms of service and acceptable use policies of our third-party AI providers (OpenAI, Ideogram, Google). Violation of their terms may result in suspension or termination of your Bach account.

Enforcement:

We reserve the right to:

Monitor content for compliance (though we typically do not review user content)
Remove content that violates these Terms
Suspend or terminate accounts that violate these Terms
Report illegal activity to law enforcement

7. Intellectual Property Rights

Bach Application:

All rights, title, and interest in Bach (including software, design, features, branding, and documentation) are owned by MASIC AI and protected by copyright, trademark, and other intellectual property laws.

These Terms do not grant you any ownership rights to Bach. You receive a limited, non-exclusive, non-transferable license to use the App in accordance with these Terms.

AI-Generated Images:

Ownership and rights to AI-generated images are subject to the terms of the AI provider used for generation:

OpenAI: You own the images you create, subject to OpenAI's terms
Ideogram: You own the images you create, subject to Ideogram's terms
Google: You own the images you create, subject to Google's terms

You are responsible for understanding and complying with each provider's terms regarding ownership, attribution, and commercial use of generated images.

Your Content:

You retain ownership of images you upload to Bach. By uploading content, you grant us a limited license to:

Process your images for the purposes of providing the service (generation, editing)
Store your images temporarily in cloud storage as needed for functionality
Display your images within templates (if you choose to make templates public)

We do not claim ownership of your uploaded content and will not use it for any purpose beyond providing the service to you.

Templates:

Creator Rights: If you create a template, you own the template structure and prompts
Public Templates: By making a template public, you grant other users the right to use and clone your template
User-Generated Content in Templates: When using public templates, you own the images you generate using those templates

8. User Content and Templates

Your Responsibilities:

You are solely responsible for:

All content you upload, create, or generate using Bach
Ensuring you have the necessary rights to upload and use images
Complying with applicable laws and third-party rights
Any consequences of sharing or distributing generated images

Content Storage:

Local Storage: Projects, conversations, and metadata are stored locally on your device
Cloud Storage: Generated images and template assets are stored in our cloud infrastructure (Supabase)
You may delete your local content at any time
To delete cloud-stored content, contact support or use in-app deletion features

Public Templates:

If you create and publish public templates:

You represent that you have all necessary rights to the template content
You grant other users a non-exclusive license to use your template
You may control whether templates are clonable by other users
We may feature or promote your templates within the App

9. Third-Party AI Services

Bach integrates with third-party AI services (OpenAI, Ideogram, Google) to provide image generation capabilities. When you use these features:

Your prompts and images are sent to these third-party providers
These providers process your content according to their own terms and privacy policies
We are not responsible for how these providers use or process your content
You agree to comply with each provider's terms of service and acceptable use policies

We make no guarantees about the availability, quality, or performance of third-party AI services. Changes to these services (including pricing, features, or availability) may affect Bach's functionality.

10. Disclaimers and Warranties

"As Is" Service:

Bach is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

No Guarantees:

We do not warrant that:

The App will function without interruption or errors
All features will be available at all times
Generated images will meet your expectations or be free from defects
The App will be compatible with all devices or operating systems
Third-party AI services will remain available or unchanged
Your data will be completely secure from unauthorized access

AI-Generated Content:

AI-generated images may:

Contain inaccuracies, artifacts, or unexpected results
Infringe on third-party rights (you are responsible for verifying)
Vary in quality depending on prompts, models, and other factors

We are not responsible for the content, quality, or legal compliance of AI-generated images.

Your Risk:

You use Bach at your own risk. You are solely responsible for:

Backing up your projects and important data
Verifying that generated images are suitable for your intended use
Ensuring compliance with applicable laws when using or distributing generated images

11. Limitation of Liability

To the maximum extent permitted by law, MASIC AI and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

Loss of profits, data, or business opportunities
Loss of generated images or projects
Costs of substitute services
Any damages arising from your use or inability to use Bach
Any damages arising from third-party AI services
Unauthorized access to your account or data
Any content generated using the App

Our total liability for all claims related to Bach shall not exceed the amount you paid to us in the 12 months preceding the claim (or $100 if you're on the Free plan).

Exceptions:

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such cases, our liability will be limited to the maximum extent permitted by law.

12. Termination

By You:

You may terminate your account at any time by:

Canceling your subscription through the Paddle Customer Portal
Contacting support to request account deletion

By Us:

We may suspend or terminate your account immediately, without prior notice, if:

You violate these Terms
You engage in fraudulent or illegal activity
Your payment fails repeatedly
We are required to do so by law
We decide to discontinue the service

Effects of Termination:

Upon termination:

Your right to use Bach immediately ceases
Paid subscriptions remain active until the end of the current billing period (no refunds for partial periods)
Your local data remains on your device (you should back it up)
We may delete your cloud-stored data (generated images, templates) after a reasonable period
Credits are forfeited (no refunds or cash value)

Sections of these Terms that by their nature should survive termination (including Intellectual Property, Disclaimers, Limitation of Liability, and Governing Law) will remain in effect.

13. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

Update the "Effective Date" at the top of these Terms
Notify you via email or through the App
Provide a reasonable notice period before changes take effect

Your continued use of Bach after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using Bach and cancel your subscription.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Vietnam, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of Bach shall be resolved through binding arbitration or in the courts located in Vietnam, depending on the nature and amount of the dispute.

Waiver of Class Actions:

You agree that any dispute resolution proceedings will be conducted on an individual basis and not as part of a class, consolidated, or representative action.
